1. License Grant
Subject to your continuing compliance with this EULA, the Terms of Service, and the Acceptable Use Policy, ShareFree grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the ShareFree mobile application(s) and the ShareFree web application (collectively, the "Application") on a device that you own or control, solely for your personal, non-commercial use.
This license:
1.1 Permits installation on devices you own or control consistent with the usage rules of the applicable app store (Apple App Store or Google Play Store).
1.2 Permits use on multiple devices that are tied to the same ShareFree account, subject to the applicable app store's family-sharing or volume-purchase rules where they apply.
1.3 Does not transfer to you any ownership of the Application or of any underlying intellectual property. All right, title, and interest in and to the Application, including all copyrights, trademarks, trade secrets, patents, and other intellectual-property rights, remain with ShareFree and its licensors.
1.4 Terminates automatically upon (a) your breach of this EULA, the Terms of Service, the Acceptable Use Policy, or any other applicable ShareFree policy; (b) the suspension, termination, or deletion of your ShareFree account; or (c) your removal of the Application from your device.
2. Apple-Specific Addendum
This Section 2 is required by the Apple Developer Program License Agreement (Schedule 1) and applies only to the iOS version of the Application obtained through the Apple App Store. To the extent there is a conflict between this Section 2 and any other provision of this EULA with respect to the iOS Application, this Section 2 controls.
2.1 Acknowledgment
This EULA is a contract between you and ShareFree only, not with Apple Inc. ("Apple"). ShareFree, not Apple, is solely responsible for the iOS Application and the content thereof. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the iOS Application.
2.2 Scope of License
The license granted to you for the iOS Application is limited to a non-transferable license to use the iOS Application on any Apple-branded products that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the iOS Application may be accessed and used by other accounts associated with the purchaser via Family Sharing or Volume Purchasing where applicable.
2.3 Maintenance and Support
ShareFree is solely responsible for providing any maintenance and support services with respect to the iOS Application, as specified in this EULA, the Terms of Service, or as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the iOS Application.
2.4 Warranty
ShareFree is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the iOS Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the iOS Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the iOS Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be ShareFree's sole responsibility.
2.5 Product Claims
ShareFree, not Apple, is responsible for addressing any claims by you or any third party relating to the iOS Application or your possession and/or use of the iOS Application, including but not limited to: (a) product liability claims; (b) any claim that the iOS Application fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer-protection, privacy, or similar legislation, including in connection with the iOS Application's use of the HealthKit, HomeKit, or other Apple frameworks (where applicable).
2.6 Intellectual Property Rights
You acknowledge that, in the event of any third-party claim that the iOS Application or your possession and use of the iOS Application infringes that third party's intellectual-property rights, ShareFree, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual-property infringement claim.
2.7 Legal Compliance / Export
You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties, including the OFAC Specially Designated Nationals List, the U.S. Department of Commerce Entity List, or the U.S. Department of State Denied Persons List.
2.8 Developer Name and Address

2.9 Third-Party Terms of Agreement
You must comply with applicable third-party terms of agreement when using the iOS Application (for example, your wireless data-services agreement with your mobile carrier).
2.10 Apple as Third-Party Beneficiary
You and ShareFree acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary of this EULA.
3. Google Play Addendum
This Section 3 applies only to the Android version of the Application obtained through the Google Play Store.
Your installation and use of the Android Application are also subject to the Google Play Terms of Service, available at https://play.google.com/intl/en_us/about/play-terms/. In the event of any conflict between this EULA and the Google Play Terms of Service with respect to your acquisition of the Application from the Google Play Store, the Google Play Terms of Service will govern solely with respect to that acquisition. All other aspects of your use of the Application — including your use of the ShareFree service — remain governed by this EULA, the Terms of Service, and the Acceptable Use Policy.
4. Restrictions
You will not, and will not permit, encourage, or authorize any other person to:
4.1 Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, object code, or underlying structure, ideas, know-how, or algorithms of the Application, except to the extent that such activity is expressly permitted by applicable law notwithstanding this restriction.
4.2 Modify, adapt, translate, or create derivative works based on the Application or any part of it.
4.3 Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make the Application available to any third party.
4.4 Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) on or in the Application.
4.5 Use the Application to develop, train, or improve a competing product, service, or machine-learning model.
4.6 Use the Application in any manner that violates the Terms of Service, the Acceptable Use Policy, or the Community Guidelines.
4.7 Use any robot, spider, scraper, automated tool, bot, or other automated means to access, interact with, or collect data from the Application, except for ShareFree-published APIs used in accordance with their documentation.
4.8 Bypass, disable, or otherwise circumvent any security feature, content-protection mechanism, license-verification process, rate limit, or access control of the Application or the ShareFree service.
4.9 Use the Application on a jailbroken, rooted, or otherwise modified device in a manner that interferes with security features, sandboxing, or signed-binary verification.
4.10 Use the Application in, or export or re-export the Application to, any country, or by any party, prohibited by U.S. export-control laws or by any other applicable export-control or sanctions laws.
5. Updates and Auto-Update
5.1 ShareFree may from time to time develop and provide patches, updates, or upgrades to the Application that may include bug fixes, security patches, new features, modifications to existing features, or removal of features.
5.2 Updates may be required for continued use of the Application or of certain features of the ShareFree service, including for security or interoperability reasons.
5.3 Updates may be downloaded and installed automatically by your device's app-store client (App Store or Google Play) in accordance with your device settings. You are responsible for the configuration of your device's update settings.
5.4 ShareFree may discontinue support for older versions of the Application, and your continued use of an unsupported version is at your own risk and may be blocked by ShareFree without further notice.
6. Open-Source Notices
The Application includes open-source software components, each of which is subject to its own license terms. A list of those components and their respective licenses is available at /legal/open-source-notices and within the Application at Settings → About → Open Source Notices.
To the extent any open-source license grants you rights that are broader than the rights granted to you under this EULA with respect to the corresponding component, those broader rights apply to that component. Nothing in this EULA limits any rights you have under the applicable open-source licenses.
7. Termination
7.1 This EULA and the license granted under it terminate automatically upon any of the following:
(a) Your termination, deletion, suspension, or banning of your ShareFree account, whether by you or by ShareFree;
(b) Your removal or uninstallation of the Application from your device;
(c) Your breach of this EULA, the Terms of Service, the Acceptable Use Policy, the Community Guidelines, or any other applicable ShareFree policy.
7.2 Upon termination, you must immediately cease all use of the Application and remove all copies of the Application from any device on which it is installed.
7.3 Sections that by their nature should survive termination will survive, including without limitation Section 1.3 (no transfer of ownership), Section 2 (Apple-specific addendum, including Apple's third-party-beneficiary rights), Section 4 (Restrictions), Section 6 (Open-Source Notices, to the extent applicable to retained components), Section 8 (Incorporation; Conflict; Governing Terms), and any accrued payment, indemnification, or limitation-of-liability obligations under the Terms of Service.
8. Incorporation; Conflict; Governing Terms
8.1 Incorporation by reference. This EULA incorporates by reference the following documents, each as updated from time to time:
8.2 Conflict. In the event of a conflict between this EULA and the Terms of Service, the Terms of Service govern, except where the Apple-specific provisions in Section 2 or the Google-specific provisions in Section 3 are required by Apple's or Google's developer agreements to control with respect to the iOS or Android Application — in which case those provisions control to the limited extent of the conflict.
8.3 Governing law and dispute resolution. The governing-law, venue, dispute-resolution, arbitration, class-action-waiver, and 30-day opt-out provisions set forth in the Terms of Service apply to any dispute, claim, or controversy arising under or relating to this EULA. Without limiting the foregoing, this EULA is governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, and disputes are resolved through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Dallas County or Collin County, Texas, subject to the class-action waiver and the 30-day opt-out right described in the Terms of Service.
8.4 Entire agreement. This EULA, together with the documents incorporated by reference in Section 8.1, constitutes the entire agreement between you and ShareFree with respect to your license to use the Application and supersedes all prior or contemporaneous understandings on that subject.
8.5 Severability. If any provision of this EULA is held to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
8.6 No waiver. ShareFree's failure to enforce any provision of this EULA will not constitute a waiver of that provision or of any other provision.
